Important Notice Regarding Special Accounts
What are the stocks recorded in a special account? Shares that were not deposited with the Japan Securities Depository Center by January 5, 2009 (the date of the transition to electronic share certificates) (e.g., shares held in a drawer, shares registered in units less than one trading unit, etc.) are recorded in a special account. Please note that your special account will record the name on the shares you held until the date of the dematerialization of share certificates. If you have forgotten to change the name on the account, you may lose your rights as a shareholder. If you have any questions, please contact Sumitomo Mitsui Trust Bank at the address above.
In order to sell on the market You cannot sell stocks on the market using a special account. Please note that in order to sell your shares on the market, you will need to open an account in your own name with a securities company and transfer the shares recorded in your special account to your securities company account.
Regarding the receipt of dividends
Dividends can be received in cash (with a dividend receipt) or via bank transfer. Bank transfers are a very convenient system because the funds are deposited on the payment start date, making it quick, secure, and eliminating the need to go and collect dividends in person.
Furthermore, once three years have passed since the start date of dividend payments, our company will be relieved of its payment obligation and will no longer be able to make payments. Therefore, we recommend that you choose bank transfer to ensure you receive your dividends.
Methods of receiving dividends via bank account: (1) Designated individual stock method, (2) Registered dividend receiving account method.
A method of specifying a bank account for each stock held (individual stock designation method) This method existed even before the dematerialization of stock certificates. With this method, you will need to specify the bank account details for each stock.
A method of receiving dividends from all held stocks into the same bank account (Registered Dividend Receiving Account Method) This is a new method following the dematerialization of stock certificates. With this method, once you register, you can receive dividends for all your stocks at XX Bank. Furthermore, once you register for this system, dividends from any stocks you acquire thereafter will be automatically transferred to your XX Bank account. *Japan Post Bank cannot be designated.
Method of receiving the funds through a securities account at a securities company (proportional distribution method based on the number of shares). (Example) If 200 shares of TOMY Company, Ltd. are recorded as 100 shares at XX Securities and 100 shares at YY Securities. This is a new method following the dematerialization of stock certificates. If you own the same stock in accounts at multiple securities companies, dividends will be deposited into your securities account according to the number of shares you own at each securities company.
Things to keep in mind
If you apply for the "proportional allocation method" at one securities company, this method will generally be applied simultaneously to the shares in your trading accounts at other securities companies as well. (You cannot specify a different method for only some of the stocks.)
If you have some (or all) of your domestically listed stocks held in a special account, you cannot use this method. Please transfer all of your stocks in the special account to a securities company or similar institution before applying.
Frequently Asked Questions about Dividends
The payment period for my dividend receipt has expired. What should I do?
Please stamp the "Receipt Stamp" section on the front of the dividend receipt, fill in the necessary information such as the recipient's name in the "Remittance Method Specification" section on the back, and mail it to the Securities Agency Department of Sumitomo Mitsui Trust Bank. We will transfer the funds to your designated bank account at a later date. (Dividends for which the statute of limitations stated on the reverse side has expired cannot be received.) In addition to procedures by mail, you can also receive your dividends at the head office of Sumitomo Mitsui Trust Bank or at the counters of any branch nationwide (excluding Consult Plaza).
I've lost my dividend receipt. What should I do?
If you have lost your dividend receipt, please contact the Securities Agency Department of Sumitomo Mitsui Trust Bank. We will check the status of your dividend payments and, if you have not yet received them, we will send you the necessary documents to process your dividend payments.
Can you check if I have any past dividends that I haven't received yet?
For inquiries regarding the status of your dividend payments, please contact the Securities Agency Department of Sumitomo Mitsui Trust Bank. If you are currently entitled to receive dividends, we will send you the necessary paperwork.
You can purchase or sell fractional shares (1 to 99 shares).
We accept requests for additional purchases and buybacks of fractional shares. Shareholders holding fractional shares in a special account who wish to purchase or sell more shares should contact Sumitomo Mitsui Trust Bank. The overview is as follows:
Overview of the Additional Purchase Request System
The fractional share purchase request system allows, for example, a shareholder who owns 35 shares to request that the company purchase an additional 65 shares of its treasury stock if they wish to consolidate their holdings to a full unit of 100 shares.
When you request to purchase additional shares, we will require an estimated purchase price (previous day's closing price × number of additional shares × 1.3 (rounded up to the nearest thousand yen)).
If the balance of our company's treasury stock becomes insufficient, we will suspend accepting applications.
Overview of the buyback request system
The fractional share buyback system allows shareholders who own, for example, 35 shares to request that our company buy back those 35 shares, which are considered fractional shares.
Overview common to the purchase and buyback request system
The purchase and buyback prices will be calculated by multiplying the closing price on the Tokyo Stock Exchange on the effective date of the purchase and buyback requests (or the price of the first trade that follows if there are no trades on that day) by the number of shares requested for purchase and buyback.
A prescribed fee will be charged for additional purchases and buyback requests.
Please note that requests for additional purchases or buybacks cannot be canceled.
If a period is set in advance of the record date for interim and year-end records, or any other period during which acceptance is suspended, we will suspend acceptance.
For fractional shares held in a securities account, please contact the securities company where you have opened your account, as this will need to be handled through that company.
